1. Definitions

“Client” means any natural or legal person that asks Translator Legal & Financial, S.L. to carry out a translation or interpretation job;

“Potential Client” means any natural or legal person that asks Translator Legal & Financial, S.L. to quote a price for a translation or interpretation job.

2. Scope

These general terms and conditions of Translator Legal & Financial, S.L. shall apply to all relations between Translator Legal & Financial, S.L. and its Clients and Potential Clients.

3. Quotation and contract

Potential Clients may request quotations and Clients may order translation services through three channels: by telephone (which will require written confirmation); by email, fax or regular mail; or via the website (www.translator.es).

Any Client or Potential Client that submits a copyrighted document to Translator Legal & Financial, S.L. requesting a quotation or ordering a translation warrants that such quotation or translation will not infringe any copyright or other intellectual or industrial property right.

Translator Legal & Financial, S.L. therefore disclaims any liability arising from the translation of a document or from any use by its Clients or Potential Clients of copyrighted documents that contravenes the Spanish Intellectual Property Act.

The Production Coordination Department of Translator Legal & Financial, S.L. will be responsible for sending the requested quotations and confirming the company’s availability to do the proposed job.

When Translator Legal & Financial, S.L. has not had the opportunity to assess the nature of the complete document to be translated or edited, any quotation provided in relation to the document and any indication of fees or delivery date will not be binding and may be withdrawn or amended at any time. An oral or written contract will be deemed to exist when the Potential Client accepts the quotation submitted in writing by Translator Legal & Financial, S.L., when Translator Legal & Financial, S.L. sends written confirmation of acceptance of the job submitted by the Client, or when a contract is signed with the Client or Potential Client in question. Written acceptance or confirmation shall be understood to include any acceptance or confirmation sent by fax or email.

4. Subsequent changes to or cancellation of a job

If a Client makes significant changes or additions to a job after the contract has been made, Translator Legal & Financial, S.L. reserves the right to change the scheduled delivery and/or fees accordingly, or to reject the changes or additions. Whether the changes or additions are significant shall be decided by Translator Legal & Financial, S.L.

Any change in the agreed terms of a job once the contract has been made shall only take effect once Translator Legal & Financial, S.L. has accepted and confirmed the change in writing.

If for any reason a Client cancels a job after the contract has been made, the Client shall pay the fees accrued, at the agreed rate, for the part of the project already completed at the time of cancellation.

5. Completion of jobs

Translator Legal & Financial, S.L. undertakes to assign all translation jobs to the translators and revisers considered most suitable based on their professional capabilities and skills. Translator Legal & Financial, S.L.’s translators and revisers will consult and follow strictly any instructions and reference material supplied by the Client.

6. Confidentiality

Translator Legal & Financial, S.L. undertakes to handle all assignments and all information provided by Clients and Potential Clients in strict confidentiality. At its Clients’ request, Translator Legal & Financial, S.L. may enter into specific confidentiality undertakings.

7. Turnaround and deadline

Translator Legal & Financial, S.L. undertakes always to respect the agreed delivery date. Nevertheless, should circumstances make it impossible to meet a deadline, Translator Legal & Financial, S.L. undertakes to notify the Client without delay.

Delivery will be deemed made when Translator Legal & Financial, S.L. sends the translation to the Client by e-mail, regular mail, fax or courier. Translator Legal & Financial, S.L. accepts no responsibility for delivery delays due to network overload, server overload or downtime, problems affecting the postal service or courier companies, or other circumstance over which it has no direct control.

8. Fees

Fees are calculated based on the number of words in the translated text (target text) multiplied by the standard rate per word, unless Translator Legal & Financial, S.L. has agreed other terms with the Client. The standard rates and minimum fees applicable are available on request.

The rates do not include VAT, unless expressly stated otherwise.

Invoices must be paid within 30 days of the date of issue.

9. Integrated quality management system certified to the UNE-EN ISO 9001:2015 and UNE-EN 17100:2015 standards

As part of its integrated quality management system, if the final quality of the product delivered to the Client is not as agreed, Translator Legal & Financial, S.L. has a complaints procedure in place.

Clients may submit complaints to Translator Legal & Financial, S.L., which will handle them in accordance with that quality procedure. Quality department staff will provide the Client with all information regarding the complaint, including the date submitted, immediate response and, where applicable, the corrective action taken to avoid or mitigate non-conformity. In all events, Translator Legal & Financial, S.L. will do everything in its power to resolve complaints by mutual agreement with its Clients.

10. Liability and compensation

Translator Legal & Financial, S.L. shall be liable for any loss or damage suffered by its Clients only if the loss or damage arises as a direct consequence of an error attributable to Translator Legal & Financial, S.L. The liability of Translator Legal & Financial, S.L. shall in all events be limited to an amount equal to the net fees to be received for the job in question.

11. Applicable law

All relations between Translator Legal & Financial, S.L. and its Clients or Potential Clients shall be governed by Spanish law. Any dispute arising from the application or interpretation of these terms and conditions shall be submitted to the jurisdiction of the Courts of Madrid, Spain.
